Google Workspace Agreement Amendment

• By clicking the “Accepted and Agreed” button, you agree to comply with the following terms. If you are accepting on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind your employer or such entity to these terms and conditions. If you don't have the legal authority to bind your employer or the entity agreeing to these terms, please do not click the "Accepted and Agreed" button below.

• This Amendment will serve to amend that certain Google Workspace Agreement entered into previously by and between the customer agreeing to these terms (“Customer”) and Google Inc., Google Ireland Limited, Google Asia Pacific Pte. Ltd, or Google Australia Pty Ltd, as applicable (“Google”) (the “Agreement”). Capitalized terms not defined herein will have the meaning ascribed to them under the Agreement. In consideration of good and valuable consideration, the receipt of which is hereby acknowledged, the parties hereto agree as set forth below.

• If Customer enables Hangouts the following additional terms apply:

  • 1. Hangouts. “Hangouts” is an application that provides the ability for real-time communication between End Users, which is more fully described here: https://workspace.google.com/intl/en/terms/user_features.html.

  • 2. Google Vault. If Customer has purchased (or later purchases) Google Vault: Customer understands and acknowledges that Google Vault is not fully compatible with Hangouts. By enabling Hangouts, the following limitations apply to Google Vault:

    • a. Google Vault retention and archiving policies will not be properly applied to on-the-record chat messages. For example, once a retention period has expired, the on-the-record chat message will be deleted from Google Vault (and it will no longer be searchable or exportable by the Administrators), however, End Users will continue to have access to the conversation history.

    • b. Notwithstanding the foregoing sentence, Customer can continue to search, export, and place on hold on-the-record chat messages during the retention period.

    • c. To the extent any non-performance of Google Vault is caused by Hangouts, Google is not required to provide Technical Support Services to Customer in respect of Google Vault.

    • d. Google Vault’s retention and archiving functionality should not be applied to chat messages until Customer is notified that Google Vault is fully compatible with Hangouts.

  • 3. Governing Law and Dispute Resolution. The governing law and dispute resolution provisions in the Agreement shall apply to this Amendment.

  • 4. Miscellaneous. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms and conditions of the Agreement and the terms and conditions of this Amendment, the terms and conditions of this Amendment shall govern.
