AMENDMENT TO Google Workspace RESELLER AGREEMENT

• The reseller entity agreeing to these terms ("Reseller") and Google Inc. , Google Ireland Limited, Google Asia Pacific Pte. Ltd., or Google Australia Pty Ltd (as applicable, "Google") have entered into that certain Google Workspace Reseller Agreement (as amended to date, the "Agreement"). This Amendment ("Amendment") is entered into by and between Reseller and Google effective as of the Effective Date and amends the Agreement. The "Effective Date" is the date Reseller accepts, either by clicking to accept or by signing a physical copy of, this Amendment. Capitalized terms not defined in this Amendment will have the meaning ascribed to them under the Agreement. In consideration of good and valuable consideration, the receipt of which is hereby acknowledged, the parties hereto agree as follows:

  • 1. Payment Options. Where Google permits, Reseller may elect to pay for its purchase under the Agreement using non-invoice forms of payment such as a credit card or debit transaction, or other payment options that may be offered by Google through the Reseller Console or otherwise. Certain payment options may require Reseller to accept additional terms in order for Google to process the transaction.

  • 2. Authorization for Charges. Reseller authorizes Google to automatically charge or debit Reseller in accordance with the payment option selected, on the first day of each calendar month in an amount that is sufficient to satisfy the applicable fees accrued and owed to Google for the preceding calendar month under the Agreement, or as otherwise agreed upon by the parties when electing an applicable payment option via the Reseller Console. Generally, for non-invoice forms of payment such as credit or debit transactions, Reseller may view its payment transaction history in the Reseller Console.

  • 3. Delinquency and Billing Information. Reseller is responsible for providing Google with updated billing information, including valid and updated credit card or bank account numbers, or other billing information applicable to the payment type selected. Where Google is unable to obtain payment due to invalid billing information provided by Reseller or insufficient funds, Google will promptly notify Reseller via the Reseller Console (or otherwise via email). Fees for non-invoice forms of payment are considered delinquent under the Agreement if not paid in full on the date Google attempted to charge Customer via the non-invoice payment option selected.

  • 4. Effect of Amendment. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms and conditions of the Agreement and the terms and condition of this Amendment, the terms and condition of this Amendment shall govern with respect to its subject matter.
