AMENDMENT TO Google Workspace RESELLER AGREEMENT

  • The reseller entity agreeing to these terms ("Reseller") and Google Inc ., Google Ireland Limited, Google Asia Pacific Pte. Ltd., or Google Australia Pty Ltd (as applicable, "Google") have entered into that certain Google Workspace Reseller Agreement (as amended to date, the "Agreement"). This Amendment (" Amendment") is entered into by and between Reseller and Google effective as of the Effective Date and shall serve to amend the Agreement. The "Effective Date " is the date Reseller clicks to accept this Amendment. Capitalized terms not defined in this Amendment will have the meaning ascribed to them under the Agreement. In consideration of good and valuable consideration, the receipt of which is hereby acknowledged, the parties hereto agree as follows:

    • 1. Services. The definition of "Services" is amended to add the following:

      • ""Services" also includes the Google hosted services currently known as "Google Vault" (as these services may be renamed from time to time), provided by Google and used by Customer under this Agreement. But unless Google agrees otherwise, Reseller may not resell Google Vault under this Agreement to: (i) those entities who are already Customers of any of the Services as of the Effective Date of this Amendment, (ii) G Suite for Government Customers, or (iii) Customers of any edition of Google Workspace other than Google Workspace."

    • 2. Google Vault. If Reseller purchases Google Vault, the following additional terms apply:

      • 2.1 Retention. Google will have no obligation to retain any archived Customer Data beyond the retention period specified by Customer (other than for any legal holds). If Reseller does not renew Google Vault for a Customer, Google will have no obligation to retain any archived Customer Data for that Customer.

      • 2.2 Additional Purchases. Unless Google allows otherwise, with each additional purchase of End User Accounts for the Services after Reseller has purchased Google Vault for a given Customer, Reseller will be invoiced for, and that Customer will receive access to, Google Vault for the same number of End User Accounts.

    • 3. Governing Law and Dispute Resolution. The governing law and dispute resolution provisions in the Agreement shall apply to this Amendment.

    • 4. Miscellaneous. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms and conditions of the Agreement and the terms and conditions of this Amendment, the terms and conditions of this Amendment shall govern.
