AppSheet Addendum to the Google Workspace Product Schedule
This AppSheet Addendum to the Google Workspace Product Schedule (“Addendum”) supplements and amends the Google Workspace Product Schedule (“Product Schedule”) that is incorporated into the agreement (as amended from time to time) between Google and Partner (as each is defined in the Product Schedule) under which Google has authorized Partner to resell, and/or supply, Products under the Program (the “Agreement”). Capitalized terms not defined in this Addendum will have the meanings given to them under the Agreement or Product Schedule.
This Addendum is effective when Partner clicks to accept it (the “Effective Date”). If you are accepting on behalf of Partner, you represent and warrant that (i) you have full legal authority to bind Partner to this Addendum; (ii) you have read and understand this Addendum; and (iii) you agree, on behalf of Customer, to this Addendum.
The parties agree as follows:

1. Authorization to Resell AppSheet. This Addendum authorizes Partner to resell the AppSheet in accordance with this Addendum, the Product Schedule, and the Agreement.

2. Partner and Google Obligations. Unless Google informs Partner otherwise in writing, the following apply:

2.1 Ordering. For the purposes of this Addendum, the Section entitled “Order Forms; Order Fulfillment and Special Terms” (or similar) in the Agreement does not apply. To purchase any AppSheet from Google, Partner must submit all orders for AppSheet by using the ordering tools or other Google-provided order forms, as may be required by Google from time to time. Partner is responsible for: (a) ensuring that each AppSheet order contains complete and accurate information; (b) submitting each AppSheet order to Google; and (c) providing any additional Customer contact details reasonably required for the provision of AppSheet. Upon Google’s acceptance of an AppSheet order, it will form a valid and binding ordering document under the Agreement to provide AppSheet to Partner’s Customer on behalf of Partner. Google reserves the right to reject any AppSheet order for any reason.

2.2 Provisioning. Unless otherwise communicated to Partner in advance in writing, Google will provision accounts to Customers upon acceptance of a Partner Order Form for AppSheet.

2.3 Usage and Invoicing. Partner will pay all fees for AppSheet. Google will invoice Partner in arrears each month during the order term. Google reserves the right to issue additional invoices to Partner in arrears if a Customer’s usage of AppSheet exceeds the licenses in the Order Form. Any such additional usage will be charged at Google's then-current list prices, less applicable discounts stated in the Program Guide or elsewhere in the Agreement.

2.4 Payment Plan Terms. Notwithstanding the URL provided in the Product Schedule, Google’s then-current Payment Plans for AppSheet will be stated at the following URL:

3. Agreement Exclusions. The following Sections of the Product Schedule shall not apply to this Addendum: Section 2 (Provisioning Services and Reseller Tools), Section 4 (Service Level Remedies), and 6 (Partner Suspension of Services).

4. Miscellaneous. Except as provided in this Addendum, all other terms of the Agreement and Product Schedule shall remain unchanged and in full force and effect. In the event of a conflict between the terms of the Agreement (including the terms of the Product Schedule) and the terms of this Addendum, the terms of this Addendum will govern.
